Please read these rules before participating in the Liquid I.V. Raspberry Lemonade Social Giveaway (the “Promotion”). By participating, you acknowledge that you have read and agree to be bound by these Official Rules and the decisions of LIV Group Inc, dba Liquid I.V. (“Sponsor”, “we”, “our” or “us”) that you satisfy all eligibility requirements.
This Promotion is in no way sponsored, endorsed, or administered by Instagram. Instagram is completely released of all liability by each participant in this Promotion.
ELIGIBILITY: Promotion open Open to legal residents of the fifty (50) United States and District of Columbia who are thirteen (13) years of age or older (each, a “Participant”). Eligible Participants who are less than the age of majority in their state of residence, a ‘minor’, must have a parent/legal guardian’s permission to participate. Directors, officers, employees, interns, shareholders and contractors (“Personnel”) of Sponsor, Anomaly Partners, LLC (“Administrator”), their respective subsidiaries, affiliates, and their respective advertising, promotion and public relations agencies, representatives, and agents (collectively, “Promotion Entities”), immediate family members of such Personnel (parents, siblings, children, spouses, and life partners of each) and members of the households of such Personnel (whether related or not) are ineligible to participate in this Promotion. The Promotion is governed by U.S. law and is subject to all applicable federal, state, and local laws and regulations. Participants must be eligible to participate in this Promotion and comply with these Official Rules or the Participant in question may be disqualified. Void outside the fifty (50) United States, District of Columbia, and where prohibited by law.
PROMOTION PERIOD: The Promotion begins at or about 12:01 p.m. PT Pacific Time (“PT”) on March 1, 2025 and ends at 11:59 p.m. PT on March 5, 2025 (the “Promotion Period”).
HOW TO PARTICIPATE: To participate in the Promotion, you'll first need to become a registered user of www.instagram.com (“Instagram”) or log into your Instagram account. If you do not have an account, go to www.instagram.com to create one. Instagram accounts are free. By submitting your information and creating an Instagram account, you agree to the platform’s Terms of Use and Privacy Policy. If you do not agree to such Terms of Use and Privacy Policy, you cannot create an Instagram account, or participate in this Promotion. Additionally, your account must be set to public.
To participate, visit https://www.instagram.com/liquidiv (the “Website”) and follow @liquidiv account if you don’t do so already. At the start of the Promotion Period, a “call to action” message (the “Post”) will be posted to the Website inviting Participant to comment on the Post. Comment on the Post as directed (the “Comment”) to receive one (1) entry.
By commenting on the Post, you affirm that you have read, understand and agree to these Official Rules. Participants understand that they are posting at their sole risk. Sponsor is not responsible for any claims arising from a Comment, specifically including, but not limited to, claims for intellectual property infringement and privacy rights violations, as well as violations of the respective social media site’s terms and conditions.
Comments must be original to the Participant, responsive to the “call to action” message and must not be obscene or offensive; must not depict alcohol, illegal drugs, tobacco, firearms/weapons, or any activities that may appear unsafe or dangerous or illegal; and must not be sexually explicit or suggestive, all as determined by Sponsor in its sole discretion. Sponsor may, in its sole discretion, alter or remove any Comment. Comments must be suitable for presentation in a public forum, at the sole discretion of Sponsor. Any questions, comments or complaints regarding this Promotion should be directed to Sponsor and not to Instagram. Comments that are incomplete or generated by script, macro or other automated or mechanical means, that have been submitted through illicit means or by any means which subvert the Promotion process or that do not conform with or satisfy any or all of the conditions set out in the Official Rules will be void. Multiple Participants are not permitted to share the same Instagram account or email addresses.
Sponsor reserves the right, in its sole discretion, to disqualify any Comment in the Promotion if Sponsor views the Comment as potentially infringing or otherwise a violation or potential violation of a third party's rights or if it deems the Comment to be lacking in taste, quality, or to be otherwise objectionable.
Each Participant (and, in the case of a minor Participant, such Participant’s parent/legal guardian on their behalf) hereby irrevocably grants to Sponsor, its designees, affiliates, successors and assigns all rights to the Comment for use in any media now known or hereafter devised including, but not limited to all forms of electronic media, print media and all forms of internet and wireless protocol in perpetuity and throughout the universe for advertising, marketing, publicity and promotional purposes in connection with the Promotion and other advertising and promotions. Sponsor shall have the right, in its sole discretion, to edit, composite, morph, scan, duplicate, or alter the Comment for any purpose which Sponsor deems necessary or desirable, and each Participant irrevocably waives any and all so-called moral rights they may have therein. Sponsor is not obligated to use any of the foregoing materials but may do so and may edit such materials, at Sponsor’s sole discretion, without further obligation or compensation.
Limit of one (1) Comment per person throughout the Promotion Period. If any person posts more than one (1) Comment, only the first Comment posted will be deemed your Comment and any additional Comments posted will be disregarded.
If participating via a smartphone device, standard data rates may apply. Any attempt to artificially increase views through bots, automation, purchased views, or any fraudulent means is strictly prohibited and will result in immediate disqualification. Sponsor reserves the right to investigate and audit view counts, and decisions regarding the validity of view counts are final and binding.
WINNER DETERMINATION: Three (3) potential winners will be selected on or about March 6, 2025 in a random drawing to be held by Administrator from among all eligible Comments received throughout the Promotion Period Odds of winning a prize will depend on the number of entires Comments received throughout the Promotion Period. Limit of one prize per person.
WINNER NOTIFICATION: Potential winners will be notified via direct message from @liquidiv and/or a comment on their Instagram account on or about March 6, 2025 and will be required to respond to the notification (as stated within the notification) within five (5) business days to accept prize and receive further instructions on how to verify their eligibility and claim prize. Potential winners may also be required to execute an affidavit of eligibility and liability/publicity release (collectively, the “Winner Documents”) as directed. If a potential winner cannot be reached, or in the event of noncompliance with these Official Rules, or if prize notification is returned as undeliverable, such potential winner will be disqualified and, at Sponsor’s sole discretion, an alternate potential winner may be randomly selected and notified.
PRIZES: Three (3) Prizes are available. Each Prize consists of one (1) Liquid I.V. branded water bottle, one (1) Liquid I.V. branded towel, and a Liquid I.V. branded cooler containing and assortment of Liquid I.V. product. Approximate Retail Value (“ARV”) of each Prize: $115.00. All prize details are at the sole discretion of the Sponsor. No cash equivalent for the prize, prize is non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute the listed prize for one of equal or greater value for any reason. Winner is responsible for all taxes and fees associated with prize receipt and/or use. Prize will be awarded only if the potential prize winner fully complies with these Official Rules.
TAXES AND EXPENSES: ALL TAXES ASSOCIATED WITH PRIZE ACCEPTANCE ARE THE SOLE RESPONSIBILITY OF THE WINNER. All prizes awarded will be inclusive of any taxes Sponsor is required by law to withhold (“Transaction Taxes”). IF TAXES ARE APPLICABLE TO THE PRIZE, IT IS THE RESPONSIBILITY OF THE WINNER TO PAY TO THE APPROPRIATE AUTHORITIES Prizes are awarded without warranty of any kind from us, express or implied, without limitation. Winner will be responsible for paying all costs and expenses related to the prize that are not specifically mentioned, including, but not limited to, taxes, and any other expenses that might reasonably be incurred by the winner in receiving or using the prize. All other taxes, costs and expenses associated with acceptance and use of any prize not specified in these Official Rules as being provided are the sole responsibility of the winner. PAYMENT TO WINNER IS SUBJECT TO THE EXPRESS REQUIREMENT THAT THE WINNER SUBMIT TO SPONSOR ALL DOCUMENTATION REQUESTED BY SPONSOR TO PERMIT COMPLIANCE WITH ALL APPLICABLE STATE, FEDERAL, AND LOCAL TAX REPORTING REQUIREMENTS. Winner is responsible for ensuring that the tax documentation submitted to Sponsor complies with all applicable tax laws and requirements.
PUBLICITY: Except where prohibited by law, each prize winner (and, in the case of a minor winner, such minor winner’s parent/legal guardian on their behalf) consents (and agrees to sign any additional documents required by Sponsor to formalize, effect or perfect such consent) to Sponsor’s use of their name, likeness (photograph), biographical information, and voice in advertising/publicity/trade (including local and/or national television stations or print publications that may be covering any element of this Promotion) worldwide without compensation, notice or approval, and prize winner disclaims any ownership rights to the content of such advertising/publicity/trade material.
USE OF PERSONAL DATA. Promotion Entities and their Personnel will not enter into any correspondence, including email, with non-winning Participants relating to such Participants’ participation in the Promotion. Sponsor reserves the right, in its sole discretion, to disqualify any individual found to be tampering with the participation process or submission materials or otherwise interfering with the proper administration of the Promotion or violating these Official Rules. Except as otherwise contemplated by these Official Rules, and to the extent entrants may otherwise elect at the time of entry, information provided by you for this Promotion is subject to Sponsor’s privacy policy located at https://www.liquid-iv.com/pages/privacy-policy.
Each Participant (and, in the case of a minor Participant, such Participant’s parent/legal guardian on their behalf) hereby acknowledges and agrees that the relationship between themselves and the Promotion Entities is not a confidential, fiduciary, or other special relationship, and that the Participant’s decision to participate in the Promotion does not place the Promotion Entities in a position that is any different from the position held by members of the general public with regard to elements of the Comment, other than as set forth in these Official Rules. Each Participant understands and acknowledges that the Promotion Entities have wide access to Comments, technology, designs, and other materials, and that new ideas are constantly being submitted to them or being developed by their own employees.
WAIVER, RELEASE, AND LIMITATION OF LIABILITY: EACH PARTICIPANT (AND, IN THE CASE OF A MINOR PARTICIPANT, SUCH PARTICIPANT’S PARENT/LEGAL GUARDIAN ON THEIR BEHALF) ACCEPTS THE CONDITIONS STATED IN THESE OFFICIAL RULES, AGREES TO BE BOUND BY THE DECISIONS OF THE SPONSOR, WARRANTS THAT THEY ARE ELIGIBLE TO PARTICIPATE IN THIS PROMOTION, AND AGREE TO RELEASE, INDEMNIFY, AND HOLD HARMLESS PROMOTION ENTITIES AND THEIR PERSONNEL FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, LIABILITY, AND DAMAGES OF ANY KIND (INCLUDING REASONABLE ATTORNEYS’ FEES AND EXPENSES) ASSERTED AGAINST ANY OF THEM, INCURRED OR SUSTAINED IN CONNECTION WITH OR ARISING OUT OF PARTICIPANT’S PARTICIPATION IN THIS PROMOTION, OR ANY TRAVEL OR ACTIVITY RELATED THERETO, BREACH OF ANY AGREEMENT OR WARRANTY ASSOCIATED WITH THE PROMOTION, INCLUDING THESE OFFICIAL RULES. ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, THE PROMOTION ENTITIES AND EACH OF THEIR LICENSEES RESERVE THE RIGHT TO SEEK ANY AND ALL REMEDIES AVAILABLE FROM ANY SUCH PERSON(S) RESPONSIBLE FOR ANY SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.
Participants (and, in the case of a minor Participant, such Participant’s parent/legal guardian on their behalf) further agree that the Promotion Entities are not responsible for the following: (a) electronic transmissions, Comments or notifications that are lost, late, stolen, incomplete, damaged, garbled, destroyed, misdirected or not received by Sponsor or their agents for any reason; (b) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication failures and/or human error that may occur in the transmission, receipt or processing of Comments or related materials; or for destruction of or unauthorized access to, or alteration of, Comments or related material; (c) failed or unavailable hardware, network, software or telephone transmissions, damage to Participants’ or any person’s property, including but not limited to Participant’s computer, phone, hardware, or software, which injury or damage may be caused, directly or indirectly, in whole or in part, from Participant's participation in the Promotion; (d) causes that jeopardize the administration, security, fairness, integrity, or proper conduct of this Promotion; (e) any Comment posted in a manner that is not expressly allowed under these Official Rules (all such Comments will be disqualified); (f) any printing errors in these Official Rules or in any advertisements or correspondence in connection with this Promotion; (g) any injury or damage.
Sponsor reserves the right to cancel or modify the Promotion if bugs, virus, fraud, technical failures or any other factor, including, but not limited to social media platform errors or downtime, technical difficulties affecting view counts, and third-party claims related to Comment content, impairs the integrity, administration or proper play of the Promotion, as determined by Sponsor in its sole discretion. Should any portion of the Promotion be, in Sponsor’s sole opinion, compromised by non-authorized human intervention or other causes including but not limited to war, strikes, health crisis, epidemic, pandemic, civil disturbances, work stoppage, and/or acts of God, which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or posting of Comments, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Promotion and, if terminated, at its discretion, determine the potential winner using the winner determination criteria above from all eligible, non-suspect Comments posted received prior to action taken or as otherwise deemed fair and appropriate by Sponsor.
NATURE OF RELATIONSHIP/WAIVER OF EQUITABLE RELIEF: Each Participant (and, in the case of a minor Participant, such Participant’s parent/legal guardian on their behalf) hereby acknowledges and agrees that the relationship between the Participant and the Promotion Entities is not a confidential, fiduciary, or other special relationship, and that the participant’s decision to provide a Comment to Sponsor for purposes of the Promotion does not place the Promotion Entities in a position that is any different from the position held by members of the general public with regard to elements of the Participant’s Comment. Each Participant understands and acknowledges that the Promotion Entities have wide access to ideas, stories, designs, and other literary materials, and that new ideas are constantly being submitted to it or being developed by their own employees. Each Participant also acknowledges that many ideas or stories may be competitive with, similar or identical to the Comment and/or each other in theme, idea, plot, format or other respects. Each Participant acknowledges and agrees that such Participant will not be entitled to any compensation as a result of any Promotion Entity’s use of any such similar or identical material. Each Participant acknowledges and agrees that the Promotion Entities do not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of the copyright in and to the Comment. Finally, each Participant acknowledges that, with respect to any claim by Participant relating to or arising out of a Promotion Entity’s actual or alleged exploitation or use of any Comment or other material submitted in connection with the Promotion, the damage, if any, thereby caused to the applicable Participant will not be irreparable or otherwise sufficient to entitle such Participant to seek injunctive or other equitable relief or in any way enjoin the production, distribution, exhibition or any other production based on or allegedly based on the Comment, and Participant’s rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.
NO OBLIGATION TO USE: Sponsor shall have no obligation (express or implied) to use any Comment, or to otherwise exploit any Comment or, if commenced, to continue the distribution or exploitation thereof, and Sponsor may at any time abandon the use of any Comment for any reason, with or without legal justification or excuse, and Participants shall not be entitled to any damages or other relief by reason thereof.
GENERAL CONDITIONS: By participating, each Participant (and, in the case of a minor Participant, such Participant’s parent/legal guardian on their behalf) fully and unconditionally agrees to and accepts these Official Rules and the decisions of Sponsor, which are final and binding in all matters related to the Promotion. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the operation of the Promotion or to be acting in violation of these Official Rules, or in an unsportsmanlike or disruptive manner and void all associated Comments. Participants agree to release and hold harmless Promotion Entities from any claims, actions, injury, liability, loss or damage of any kind resulting from participating in this Promotion or from the acceptance or use of any prize awarded.
CHOICE OF LAW: By participating, Participants agree to be bound by these Official Rules. Participants agree (for themselves and their heirs) that the Promotion Entities will have no liability, and will be held harmless by such Participants to the maximum extent permitted by law for any liability, loss, injury, or damage to property or to person, including death, and reasonable attorney’s fees and court costs, due in whole or in part, directly or indirectly, by reason of participation in the Promotion, or by reason of the acceptance, possession, use or misuse of the prizes, even if caused or contributed to by the negligence of any of the Promotion Entities. To the extent permitted by law, this Promotion is governed by the laws of the United States and the State of New Jersey, USA. As a condition of participating in this Promotion, Participants agree that any and all disputes which cannot be resolved between the parties and causes of action arising out of or in connection with this Promotion, shall be resolved individually, without resort to any form of class action, exclusively before a court located in the State of New Jersey, USA having jurisdiction. Further, in any such dispute, under no circumstances will Participants be permitted to obtain awards for, and hereby waive all rights to claim, punitive, incidental or consequential damages, including attorneys' fees, other than Participant’s actual out-of-pocket expenses (e.g. costs associated with entering), and Participant further waives all rights to have damages multiplied or increased. Participants agree that the decisions of Sponsor related to the Promotion are final.
